Renewable SIM Card Subscriptions

1. Introduction

These Terms and Conditions govern the use of renewable SIM card subscriptions (“Services”) provided by Chameleon Codewing Ltd (“Company”), a company registered in the United Kingdom with company number 02472939 and registered office at 97 Gosbecks Road, Colchester, Essex, CO2 9JT. By subscribing to our Services, you agree to be bound by these Terms and Conditions in full.

2. Subscription

2.1 Eligibility: By subscribing to our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a contract.

2.2 Subscription Process: To subscribe to our Services, you must complete the registration process on our website or through our authorized partners. You agree to provide accurate, current, and complete information during the registration process.

2.3 Subscription Term: The subscription term shall commence upon activation of the SIM card and continue on a renewable basis until terminated by either party per these Terms and Conditions.

3. Service Provision

3.1 Service Description: The Services provided by the Company may include but are not limited to voice calls, text messages, data usage, and any additional features as outlined in the subscription plan.

3.2 Quality of Service: The Company shall use reasonable endeavours to provide the Services with reasonable care and skill. However, we do not guarantee uninterrupted or error-free service, and we shall not be liable for any disruptions or interruptions beyond our control.

3.3 Intended Use: Our SIM cards are intended for use as per the usage chart and are provisioned for use with compatible devices on our network.

3.4 Device Compatibility: Each SIM card is provisioned for use with a specific device or device type, as stipulated in the subscription or agreement. It is intended to be used only with the designated device.

3.5 Prohibited Activities: The following activities are prohibited and may result in suspension or termination of service:

  • Commercial resale of SIM cards or associated services.
  • Fraudulent use, including but not limited to unauthorized device switching or IMEI manipulation.
  • Use of SIM cards in devices that are not compatible or approved.
  • Activities that violate our terms of service or applicable laws and regulations.

3.6 Traffic Management: We reserve the right to apply traffic management measures to ensure equitable access to network resources for all customers. This may include bandwidth throttling or prioritization during times of network congestion.

3.7. Excessive Usage: If your usage adversely affects the network’s performance or other customers’ experiences, you may face fair usage restrictions. Such usage might include persistent high-volume data transfers or using SIM cards in ways not aligned with their designed purpose. For details on fair usage limits, please visit this link. Should your SIM be suspended for surpassing the fair use policy, it will be automatically reactivated at the next subscription renewal or on the 24th of the month, whichever comes first. 3.8 Compliance: Failure to adhere to these guidelines may result in account suspension or termination.

4. Billing and Payment

4.1 Subscription Fees: The subscription fees for the Services shall be as outlined in the subscription plan chosen by you. You agree to pay all applicable charges associated with your subscription per the billing terms specified.

4.2 Billing Cycle: Subscription fees are billed repeatedly, typically monthly or annually, depending on the subscription plan chosen.

4.3 Payment Method: You authorize the Company to charge the subscription fees to the payment method provided during the registration process. You agree to maintain valid payment information to ensure uninterrupted service.

4.4 Price Changes: The Company reserves the right to change the subscription fees at any time upon reasonable notice to you. Continued use of the Services after such notice constitutes acceptance of the new pricing terms.

5. Loss, Theft or Damage

5.1 Responsibility for Plan Charges: In the event that the User’s equipment is lost, damaged, or stolen, the User acknowledges and agrees that they are still responsible for all plan charges for the minimum contracted period, regardless of the status of the equipment.

5.2 Charges Incurred by Third Parties: If the equipment is found or stolen by a third party, the User agrees to pay any charges incurred by that third party until the User notifies Chameleon that the equipment has been lost or stolen.

5.3 Notification Requirement: The User must promptly inform Chameleon if the equipment is lost or stolen to halt any further charges incurred by unauthorized parties. Failure to notify Chameleon of the loss or theft may result in the User being held responsible for charges incurred during this period.

By using the equipment, the User acknowledges and agrees to adhere to these terms and conditions regarding lost, damaged, or stolen equipment.

6. Termination

6.1 Termination by You: You may cancel your subscription at any time by contacting customer support or through the account management portal on our website. Upon cancellation, you will continue to have access to the Services until the end of the current billing cycle.

6.2 Termination by the Company: The Company reserves the right to terminate or suspend your subscription at any time for breach of these Terms and Conditions or for any other reason, with or without notice.

7. Limitation of Liability

7.1 Exclusion of Liability: To the maximum extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way related to the use or inability to use the Services.

7.2 Indemnification: You agree to indemnify and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising out of your use of the Services.

8. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed per the laws of England and Wales. Any dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Miscellaneous

9.1 Entire Agreement: These Terms and Conditions constitute the entire agreement between you and the Company regarding the Services and supersede all prior agreements and understandings, whether written or oral.

9.2 Severability: If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
